About the opportunity
The Legal Counsel is responsible for assisting in the management of Guardian’s legal matters primarily focusing on property and leasing in addition to other areas across the business such as acquisitions, insurance, business contracts, governance, employment, regulatory matters, intellectual property, banking and finance, and management of disputes. Provide general commercial legal advice, prepare and review documentation, ensure awareness of and compliance with legislation, and provide support to the various stakeholders within the business.

Key Responsibilities
Leasing

  • Draft & negotiate leases and related documents such as renewals, variations, assignments, subleases, licences, and surrenders for current and Greenfield sites
  • Provide advice on property-related matters, including day-to-day leasing issues, lease disputes and exercising lease options
  • Assist in arranging necessary bank security documents for existing, acquired and developed centres, including rights of entry and bank guarantees

Acquisitions and divestments

  • Undertake detailed legal and property due diligence on acquisitions
  • Assist generally on acquisitions including drafting of transaction documents and preparing for completion

Commercial and governance

  • Assist with insurance matters including management of claims and policy renewals
  • Provide advice on contractual obligations and draft and negotiate business contracts
  • Provide advice on employment matters, support on privacy and data security matters, monitor and ensure compliance with legislative obligations
  • Provide advice to centre teams on interpretation of custody or intervention court orders and support centre teams in responding to subpoenas
  • Provide ad hoc advice to the business from time to time and be involved in discrete projects

Required Qualifications and experience      

  • University qualification in law
  • Admission to the Supreme Court of NSW and hold current practicing certificate in NSW
  • 2-4 years’ experience practicing law
  • Solid experience in property matters and leasing essentials
